Job Description
In this context, it is the role of the HBEG Company Secretary to support the Regional Company Secretary in establishing an appropriate corporate governance framework for HSBC Bank Egypt and its subsidiaries in Egypt and to provide advice, guidance and support on corporate governance matters.
The Company Secretary is responsible for ensuring that HBEG’s Board of Directors and Senior Management is complying at all times with all statutory, regulatory, Group and best practice requirements and standards as they continue to evolve and develop. The Company Secretary has to exercise a great amount of tact and confidentiality while dealing with these matters and maintain at all times the correct level of information flow between all stakeholders adding to the pressures of working with multiple stakeholders and under stress and tight deadlines.
Duties and Responsibilities
Your main responsibilities in this role include the following:
To lead and manage the Corporate Governance and Secretariat (‘CG&S’) function in HSBC Bank Egypt (‘HBEG’).
To act as strategic advisor to the HBEG Board of Directors of which the jobholder is the Company Secretary, on all governance matters through providing support and advice to the Chairman and the Chief Executive on all corporate governance matters in addition to direct support to the Board, the Non-Executive Directors, the Board Committees and Senior Management and ensuring they act on their their fiduciary duties
To effectively manage the shareholder relationship and protect their interests in the company and with particular regard to the continuing obligations of HSBC Holdings plc.
To be responsible for observing all legal and regulatory obligations and lead and act upon changes in legislation and regulatory requirements impacting the corporate structure and governance of the bank,
To lead the implementation of corporate actions like shareholder meetings, capital increases etc. and the maintenance of HBEG statutory records
To support the strategy of the company and provide CG&S support to any subsidiary companies by implementing an appropriate and consistent corporate governance framework
To lead on the implementation of the strategic objectives of the Global CG&S function
Provide advice, guidance and support to the Board of Directors and Senior Management of the Company on corporate governance and regulatory requirements as well best practice requirements and standards
Provide proactive support and advice to ensure that the CEO and the senior management team meet their business objectives in a commercial and timely manner within a culture of best corporate governance practice
Manage all aspects of the legal requirements in the relationship with the shareholders
Support the Regional Company Secretary MENAT in the performance of his responsibilities within the Region
Job Requirements
Solid knowledge of corporate governance, statutory and regulatory requirements in which HSBC Bank Egypt operates
Detailed knowledge of the HSBC Group and a clear understanding of its corporate culture is desirable.
Leadership, management and strong communication skills

Lateral thinking/problem solving/creativity.
Communication and inter-personal skills including the maintenance and development of relationships with Directors of the Board
Ability to work under pressure and handle complex situations
Ability to maintain a high level confidentiality, tact and discretion as the jobholder has access to highly restricted information
A Legal background is desirable
5+ years experience as a Company Secretary is preferred
